By accessing or using our website, services, and platform at opengatess.com, you ("User," "you," or "your") agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, you must not use our services. 1. Acceptance of Terms By registering an account, accessing, or using any feature of OpenGatess, you acknowledge that you have read, understood, and agree to comply with these Terms & Conditions, our Privacy Policy, and any other applicable policies. These terms constitute a legally binding agreement between you and OpenGatess. 2. Eligibility 2.1. You must be at least 18 years of age to use our services. 2.2. You must have the legal capacity to enter into binding agreements in your jurisdiction. 2.3. You must not be located in, or a resident of, any jurisdiction where the use of cryptocurrency trading platforms is prohibited or restricted by applicable law. 2.4. You represent and warrant that your use of the Platform complies with all applicable local, national, and international laws and regulations. 3. Account Registration 3.1. You must provide accurate, current, and complete information during the registration process. 3.2. You are responsible for maintaining the confidentiality of your account credentials, including your password and passcode. 3.3. You are solely responsible for all activities that occur under your account. 3.4. You must immediately notify OpenGatess of any unauthorized use of your account or any other breach of security. 3.5. OpenGatess reserves the right to suspend or terminate accounts that provide false, inaccurate, or incomplete information. 3.6. One individual may only maintain one (1) account. Duplicate accounts may be suspended without prior notice. 4. Membership Plans 4.1. OpenGatess offers paid membership plans that provide access to specific platform features, including but not limited to Auto Trader Bots, P2P trading, and enhanced trading capabilities. 4.2. Membership plan fees are non-refundable once activated, except as required by applicable law. 4.3. Membership plans are valid for the duration specified at the time of purchase and may be renewed subject to availability and pricing at the time of renewal. 4.4. OpenGatess reserves the right to modify, suspend, or discontinue any membership plan at any time without prior notice. 4.5. Benefits associated with each plan, including daily session limits, bot durations, and trading limits, are determined at the time of plan creation and may be adjusted for new subscribers. 5. Auto Trader Bots 5.1. Auto Trader Bots are automated trading tools provided as part of eligible membership plans. They execute trading strategies on your behalf based on predefined algorithms. 5.2. By activating an Auto Trader Bot, you authorize OpenGatess to execute trades on your behalf using your account balance, subject to the parameters of the selected bot. 5.3. No Guaranteed Returns: Past performance of any trading strategy or bot does not guarantee future results. You acknowledge that all trading involves risk, and you may lose some or all of your invested capital. 5.4. Daily session limits apply to Auto Trader Bot usage as determined by your membership plan. These limits are enforced on a per-day (UTC) basis. 5.5. Bot profits are credited to your account balance upon successful completion of each trading session. 5.6. OpenGatess does not guarantee uninterrupted or error-free operation of Auto Trader Bots. Technical issues, market conditions, or network disruptions may affect bot performance. 5.7. You may deactivate or stop using Auto Trader Bots at any time. Deactivation does not entitle you to a refund of any previously paid fees. 6. Deposits 6.1. You may deposit funds into your OpenGatess account using the payment methods available on the Platform. 6.2. All deposits are subject to verification and processing times, which may vary depending on the payment method and currency used. 6.3. Minimum and maximum deposit limits apply and are displayed on the Platform at the time of deposit. 6.4. Deposit charges, if any, are clearly displayed before you confirm the transaction. 6.5. OpenGatess is not responsible for delays, failures, or errors caused by third-party payment processors or banking institutions. 6.6. You are responsible for ensuring that the funds you deposit are obtained from legitimate sources. OpenGatess reserves the right to freeze accounts and report suspicious transactions to relevant authorities. 7. Withdrawals 7.1. You may withdraw funds from your OpenGatess account using the available withdrawal methods. 7.2. Withdrawal requests are subject to processing, verification, and anti-money laundering (AML) checks. 7.3. Minimum and maximum withdrawal limits apply as displayed on the Platform. 7.4. Withdrawal processing times vary by method and may take up to 48 hours for standard processing. Additional verification may be required for large withdrawals. 7.5. OpenGatess reserves the right to delay or withhold withdrawals if suspicious activity is detected, regulatory requirements demand it, or additional verification is needed. 7.6. OpenGatess provides a peer-to-peer (P2P) trading marketplace that connects buyers and sellers of cryptocurrency. 8.2. OpenGatess acts solely as an intermediary platform and is not a party to any P2P transaction between users. 8.3. Escrow services are provided to protect both buyers and sellers during P2P transactions. Funds are held in escrow until both parties confirm the completion of the trade. 8.4. Ratings and reviews left by trading partners reflect individual user experiences and do not represent the views or endorsements of OpenGatess. 9. Market Trading 9.1. OpenGatess provides market trading features that allow users to buy, sell, and trade cryptocurrencies at prevailing market prices. 9.2. Market orders are executed at the best available price at the time of order placement. Actual execution prices may differ from quoted prices due to market volatility. 9.3. You may place limit orders, stop-loss orders, and take-profit orders subject to the parameters available on the Platform. 9.4. OpenGatess is not responsible for losses resulting from market volatility, slippage, network delays, or system outages. 9.5. All trading activity is subject to applicable fees, which are disclosed before order execution. 9.6. OpenGatess reserves the right to impose position limits, margin requirements, or trading restrictions on any account without prior notice. 10. Merchant Services 10.1. OpenGatess offers merchant services that allow businesses and individuals to accept cryptocurrency payments and manage transactions. 10.2. Merchants must complete identity verification (KYC) before accessing merchant features. 10.3. Merchants are responsible for compliance with all applicable tax laws and regulations related to cryptocurrency transactions in their jurisdiction. 10.4. OpenGatess reserves the right to suspend merchant accounts that engage in fraudulent, illegal, or unauthorized activities. 10.5. Merchant fees and commission structures are displayed on the Platform and may be updated from time to time. 11. Fees and Charges 11.1. OpenGatess may charge fees for certain services, including but not limited to deposits, withdrawals, trading, and membership plans. 11.2. All applicable fees are displayed on the Platform before you confirm any transaction. 11.3. Fee structures may be updated at any time. Prohibited Activities You agree not to engage in any of the following prohibited activities: 12.1. Using the Platform for any unlawful purpose or in violation of any applicable laws or regulations. 12.2. Engaging in money laundering, terrorist financing, or any other financial crime. 12.3. Attempting to manipulate, disrupt, or gain unauthorized access to any part of the Platform, its systems, or its infrastructure. 12.4. Using automated scripts, bots (other than those provided by OpenGatess), or any software to interact with the Platform in an unauthorized manner. 12.5. Creating multiple accounts to circumvent platform limits, restrictions, or enforcement actions. 12.6. Providing false, misleading, or deceptive information to OpenGatess or other users. 12.7. Engaging in wash trading, spoofing, or any form of market manipulation. 12.8. Using the Platform to facilitate the exchange of cryptocurrencies obtained through illegal means, including but not limited to theft, fraud, or hacking. 12.9. Harassing, threatening, or abusing other users or OpenGatess staff. 12.10. Circumventing or attempting to circumvent any security measures, account limitations, or platform restrictions. 13. Intellectual Property 13.1. All content, trademarks, logos, graphics, software, and other intellectual property associated with OpenGatess are the exclusive property of OpenGatess or its licensors. 13.2. You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Platform for its intended purpose. 13.3. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from the Platform without prior written consent from OpenGatess. 14. (e) Delays, interruptions, or errors in the Platform's operation. 16.3. In no event shall OpenGatess's total aggregate liability exceed the fees you paid to OpenGatess in the twelve (12) months preceding the claim. 17. Indemnification 17.1. You agree to indemnify, defend, and hold harmless OpenGatess and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to: (a) Your use of the Platform. (b) Your violation of these Terms & Conditions. (c) Your violation of any applicable law or regulation. (d) Your violation of any rights of a third party. 18. Account Suspension and Termination 18.1. OpenGatess reserves the right to suspend, restrict, or terminate your account at any time, without prior notice, for any reason, including but not limited to: (a) Violation of these Terms & Conditions. (b) Suspected fraudulent, illegal, or unauthorized activity. (c) Request by law enforcement or government agencies. (d) Unexpected technical or security issues. (e) Extended periods of inactivity. 18.2. Upon termination, your right to use the Platform ceases immediately. OpenGatess may, at its sole discretion, allow you to withdraw remaining funds subject to verification and applicable restrictions. 18.3. OpenGatess shall not be liable to you or any third party for any termination of your access to the Platform. 19. Governing Law and Dispute Resolution 19.1.
